Alex Frutos

Biography

Alex Frutos focuses his practice on corporate finance and securities, mergers and acquisitions, and general corporate matters.

Mr. Frutos is an experienced transactional lawyer with a strong accounting and business background that focuses on quality and dedication in his client service. He has assisted clients with the formation of organizations, corporate governance issues, capital formation, private placements of securities, initial and follow-on public securities offerings and secondary offerings, as well as Securities Act and Exchange Act compliance matters. His practice focus includes mergers and acquisitions transactions financed by equity and senior and subordinated debt, as well as secondary market transactions in hedge fund and private equity fund interests.

Prior to joining Jackson Walker, Mr. Frutos was with Akin, Gump, Strauss, Hauer & Feld, L.L.P. for ten years. He became a certified public accountant in 1991, and from 1991 until he entered law school, he was an accountant in the Dallas office of KPMG L.L.P.

Representative Matters

  • Representation of an NYSE-listed public energy company in its acquisition of a combined-cycle natural gas-fired power plant in Texas for approximately $305 million

  • Representation of Texas retail electric providers in all phases of operation, from formation, financing, mergers and acquisitions to restructuring and divestitures

  • Representations of entrepreneurs and emerging growth companies from formation to exit, including debt and equity capital raising transactions, mergers and acquisitions, joint ventures as well as general contractual matters

  • Representation of investment bankers as initial purchasers in a $200 million investment grade Rule 144A debt offering and as dealer-manager in a related $100 million debt tender offer

  • Representation of a private media company in connection with mergers, acquisitions and dispositions of more than 40 newspaper publications across the U.S. and related debt and equity financing and restructuring transactions

  • Representation of companies in connection with initial public offerings, follow-on public offerings, secondary public offerings, private placements, and dividend reinvestment plans

  • Representation of an NYSE-listed public real estate investment trust in connection with a merger with another public real estate investment trust in a transaction valued at approximately $3.2 billion

  • Representation of public companies and special committees in connection with going-private and going dark transactions

  • Representation of hedge fund of funds with assets under management in excess of $6 billion in connection with portfolio acquisitions valued at over $160 million in over 300 funds and representation of private equity and venture capital firms in connection with private debt and equity investments

  • Ongoing representation of local, national, private and public companies regarding general corporate and securities matters

Organization Membership

Mr. Frutos serves on the board of directors of the Securities Section of the Dallas Bar Association. He is also a member of the State Bar of Texas, American Bar Association, the North Dallas Chamber of Commerce, Phi Delta Phi, and the Golden Gavel Honor Society.

Community Involvement

Mr. Frutos has been active in a number of civic, charitable and professional organizations. He is a former graduate of the Leadership Dallas Class of 2009 and a former member of the board of directors of Friends of Fair Park.
