Biography Jonathan Lass represents and counsels clients on matters involving corporate transactions and intellectual property legal matters. With both general counsel and law firm experience, Mr. Lass provides his clients with strategic legal advisement, drafting, and negotiation throughout the transaction or project with a practical and problem solving approach to achieving the goals of his clients.
Mr. Lass provides legal advisement to privately held, venture-backed and established public domestic and global companies, for profit and not-for-profit corporations, as well as several State of Texas institutions. Mr. Lass advises clients in many industries, such as technology, energy, government, media, pharmaceutical, telecommunications, manufacturing, financial, and retail, among others.
Mr. Lass assists clients with a full range of technology legal services, including assisting his clients with strategies to commercialize their assets. He focuses on drafting, negotiating, and advising clients with regard to transactions such as SAAS agreements, master services agreements, software licenses, source code escrow agreements, joint development agreements, manufacture agreements, distribution agreements, supply agreements, VAR/OEM agreements, marketing agreements, and outsourcing transactions.
Mr. Lass represents buyers, sellers, and investors in business mergers and acquisitions. These transactions range from cash and stock mergers to share exchanges, asset sales and purchases, stock or other equity sales and purchases, and joint ventures. He represents closely held businesses and publicly traded companies, and is equally attuned to the complex business modeling that drives large public transactions as to the much more personal issues faced when an entrepreneur buys or sells a business. His work covers strategic advisement, negotiation and documentation of the transaction, and he manages issues relating to due diligence, third-party and seller-financing arrangements, corporate governance matters, securities, antitrust, regulatory, and other aspects of the transaction.
Prior to joining Jackson Walker L.L.P., Mr. Lass was a shareholder at Clark, Thomas, & Winters, PC.

- Member of divestiture deal team in divestiture of power generation assets valued in excess of $150 million.
- Successfully arbitrated trademark domain name dispute on behalf of Earth and Sky.
- Drafted global, multi-level software licensing agreements and provided strategic advisement for Dubai company in their global software launch.
- Represented companies in private placement offering.
- Represented corporations in the acquisition of web-based business.
- Represent professional service firms, such as dental, medical, and veterinary practices, in the formation, day-to-day legal issues, and sale of their practices.
- Represented publicly held corporation in obtaining a $20 million credit facility.

Organization Membership Mr. Lass is a current member of the University of Texas School of Law's Technology Law Conference planning committee; Chair of the Austin Bar Association Technology Law Committee; a member of the State Bar of Texas - Technology Law section; and a member of the American Bar Association - Intellectual Property Committee.
Community Involvement Mr. Lass has provided pro bono service to the underprivileged in Austin through Volunteer Legal Services. He has been a volunteer at Capital Area Food Bank of Central Texas, a committee member of Communities in School, a member of the U.S. Tennis Association, chapter president of the Association of Emory Alumni, and board member of the young professional board of Austin Symphony Orchestra.
