Biography

Randy A. Racine focuses his practice on finance and real estate. His practice ranges from the representation of banks, funds, insurance companies and other financial institutions in debt-based financing transactions and restructurings to the representation of public and private companies, individual and institutional investors and developers in complex real estate matters.

Mr. Racine's finance practice includes the negotiation, structuring and documentation of financing for mixed-use developments, multi-family properties, office buildings, retail centers, condominiums, hotels, industrial properties, car dealerships and restaurants. Mr. Racine additionally represents lenders in the restructuring and workout of troubled credit facilities and foreclosure and liquidation of all types of real estate.

Mr. Racine's real estate practice includes the negotiation, structuring and documentation of acquisitions and sales (including purchase and sale agreements and title and survey review) leasing matters (including representation of landowners, developers and tenants in drafting, negotiation, structuring and reviewing all types of space leases, long-term ground leases and other commercial leases); partnerships and other forms of equity participations and development vehicles; development matters (including zoning, platting, CC&Rs, reciprocal easement agreements, construction contracts and development agreements); operational matters (including management agreements, service agreements and landlord/tenant disputes); and financing matters (including loan commitments, restructurings, workouts and mortgage documentation).

Mr. Racine also has experience in documenting secured and unsecured credit facilities in a range of other industries, including health care, entertainment, technology and government contractors.
