Biography

Richard S. Roth's primary areas of practice are securities offerings, corporate finance transactions and mergers and acquisitions, including tender and exchange offers. Mr. Roth has been involved in numerous financing transactions through the representation of issuers and underwriting firms in public and private debt and equity offerings. He began his career in the Division of Corporation Finance at the Securities and Exchange Commission in Washington, D.C., and previously practiced with a multinational firm in its Houston and New York offices.

Representative Matters

• Represented an energy company in its Rule 144A offering of $1.5 billion of senior second lien notes


• Represented an energy company in its simultaneous public offering of $108 million of common stock and 144A offering of $140 million of convertible preferred stock


• Represented public digital music and video rights management company in its merger with larger competitor owned by private equity investors


• Represented an energy company in its public offering of $235 million of common stock and the secondary offering of $27 million of common stock by its founder


• Represented physician and dental/orthodontic practice management companies as well as a home health care company and a municipal infrastructure construction company in roll-up transactions involving the simultaneous consummation of multiple acquisitions and either an initial public offering or a private equity investment
