James L. Pledger

Biography

James L. Pledger focuses his practice on the regulation and operation of commercial banks, savings associations, savings banks, credit unions and financial institution holding companies, and the regulation of mortgage brokers and mortgage bankers. He has experience in such areas as acquisitions and control of depository institutions and holding companies, the establishment of de novo charters and charter conversions, resolution of supervisory and enforcement matters, transactions with affiliates, loans to one borrower, subsidiary, affiliate and service corporations, and public equity and debt offerings by depository institutions and their holding companies.

Mr. Pledger served as the Texas Savings and Loan Commissioner (1988-2003) and, in that capacity, he was the primary regulator of state savings institutions (combined assets of $16 billion) and their holding companies and over 22,000 Texas mortgage brokers. Mr. Pledger was the primary architect of the Texas State Savings Bank Act, which authorized the chartering and regulation of state savings banks in Texas.

Mr. Pledger served as a member of the Federal Financial Institution Examination Council State Liaison Committee (1997-2003). The Committee meets quarterly with the Chairman of the FDIC, Comptroller of the Currency, a member of the Board of Governors of the Federal Reserve Board, and Directors of the OTS and NCUA and their senior staffs to provide a state perspective on the Council's interagency federal regulations for depository institutions.

Mr. Pledger has testified before the United States Congress numerous times regarding financial modernization, bank regulatory reform, and financial institution holding companies. He also testified extensively before Texas Legislature as the primary agency contact on banking, appropriations, and other legislative issues.

Previously, Mr. Pledger served as General Counsel of United Savings in Houston, a $5 billion state-wide depository institution, and its publicly-traded holding company and he served as Associate General Counsel of the National Savings and Loan League in Washington, D.C.

Organization Membership

Mr. Pledger is a member of the State Bar of Texas and the Alabama State Bar. He is the chairman of the board of directors of the Downtown Austin Transportation Management Association, an associate member of the Texas Bankers Association, the Independent Bankers Association of Texas, and the Texas Association of Bank Counsel. He is also a former member of the West Lake Hills City Council and served as Chairman of the City's Zoning and Planning Committee.
