Biography

Lauren Sracic Ciminello focuses her practice on advising corporate clients on various business transactions including, but not limited to, entity formation, mergers, acquisitions, and reorganizations, public and private offerings of securities, and contract negotiations. Ms. Ciminello has experience in mergers and acquisitions of various types, including the purchase and sale of large and small businesses.

Ms. Ciminello regularly represents borrowers in finance transactions and has worked on negotiating complex financing transactions totaling over $1 billion. She also has experience in representing lenders in finance transactions.

Ms. Ciminello represents clients in a variety of industries, including oil and gas, oilfield related services, energy, construction and heavy machinery, manufacturing and distribution internationally, food and beverage, and aircraft remanufacturing.

• Represented international oil and gas service company in connection with purchase of multiple strategic acquisitions in two years.


• Represented borrowers in over $1 billion in various debt financing transactions, including both secured and unsecured term loans and revolving credit facilities.


• Represented a publicly held California company in connection with the acquisition of a Texas customer-owned water service company.


• Represented $2 billion family-owned construction, engineering, hotel, real estate and oil and gas business in a series of restructuring, finance and tax-free spin-off transactions.


• Represented cement and aggregate supply company in connection with the sale of assets.


• Represented clients in both the purchase and sale of aircraft.


• Team member in a $100 million private placement by an oil and gas limited partnership.

Organization Membership

Ms. Ciminello is a member of the State Bar of Texas, American Bar Association, San Antonio Bar Association, and St. Mary's Law Alumni Association. She is also a member of the Baylor Alumni Association and Kappa Delta Alumni Association. Ms. Ciminello was also accepted to the Leadership San Antonio Class of 2013.

Community Involvement

Ms. Ciminello is an active member of the San Antonio chapter of the National Association of Women Business Owners (NAWBO), co-hosting the Million Dollar Roundtable, a quarterly forum open to business-owners whose businesses generate over $1,000,000 annually in revenue, discussing topics such as "How to Be Sale-Ready Without Being for Sale," "Training the Next Tier of Management," "Growing Your Business in the New Economy" and "Non-Organic Growth Through Acquisition." She also co-hosts Great Conversations, another roundtable discussion which offers NAWBO members an opportunity to discuss various legal issues pertinent to their businesses. She has served twice on the judging panel for the Entrepreneurial Spirit Awards, which are annual awards presented to outstanding women entrepreneurs in the San Antonio community.

Ms. Ciminello has also been involved with Family Service Association, serving on the Auction Committee for the Festival of Lights.

During her legal career, Ms. Ciminello has provided pro bono service to several non-profit organizations in San Antonio. Her support of these charities includes providing services to Haven for Hope as they embarked upon the financing of their leading edge campus serving the homeless.
