Biography
Nicole Gewinner's practice includes mergers and acquisitions, offerings of debt and equity securities, state and federal securities law compliance, corporate governance matters and general corporate law. She has represented and advised clients in a number of diverse industries including energy, health care, communications, media and technology. Her practice includes both domestic and international transactions and legal advice.
Ms. Gewinner's practice includes a diverse array of technology-related work, including drafting and negotiating software licenses, reseller agreements, website and software development agreements, hosting agreements and e-commerce platform agreements. She has also advised clients in connection with their websites' privacy policies and terms of use.
Ms. Gewinner has experience forming small businesses and helping to navigate those businesses through their initial rounds of funding. She has also assisted start-up companies with their initial operations, drafting Company Agreements, vendor, customer and employment contracts and providing advice regarding how best to protect their intellectual property.
Ms. Gewinner has also advised a number of clients in connection with advertising and marketing related issues, including "green" marketing. She has assisted clients with federal and state legal compliance for contests, giveaways and sweepstakes, and drafted all of the documentation necessary to conduct sweepstakes, including official rules and supporting affidavits.

Representative Matters
- Represented a European software company in connection with the sale of its equity to an American company.
- Represented a health care services company in connection with the acquisition of the assets of a company based in the Philippines.
- Represented a magazine company in connection with its formation, the Company Agreement between its owners, and advertising contracts.
- Represented a video software company in connection with its user subscription agreement and created the privacy policy and terms of use for its website.
- Represented a green building company in connection with its marketing and promotional activities, including general advice regarding sweepstakes law compliance.
- Represented a limited partnership created to drill and develop natural gas and oil wells in connection with the raising of over $20 million in capital, including the drafting of a private placement memorandum.
- Advised a public company client regarding compliance with the Dodd-Frank Wall Street Reform and Consumer Protection Act and revised the company's investment documents to reflect the Act's revision to the definition of an accredited investor.

Organization Membership
Ms. Gewinner is an officer of the Austin Bar Association's Business, Corporate and Tax Section. Ms. Gewinner is also a member of the American Bar Association's Business Law Section.
She serves on the Austin Chamber of Commerce's Air Service Task Force. She is also a member of Austin Women in Technology. Ms. Gewinner has served as a guest lecturer on corporate law for Business Investment Growth Austin (BIG Austin).
Community Involvement
Ms. Gewinner is a member of the Board of Trustees of the Alliance Française d'Austin. She also serves as the Vice President of the Alliance Française.
Ms. Gewinner serves as a founding co-chair of the Women's Resource Fair hosted annually by the Austin Young Lawyers Association. She is also a member of Art Alliance Austin and has recently joined its Temporary Outdoor Gallery Space Ideas Competition committee.
