Biography

Chad Smith is an experienced real estate lawyer who has helped both sellers and purchasers of all types of real estate, including raw land, office complexes, industrial projects and retail centers. Mr. Smith is regularly involved in retail, office, warehouse and ground lease negotiations on behalf of both landlords and tenants. He has experience in real estate development, including the negotiation and preparation of declarations of covenants, conditions and restrictions, easement agreements, development agreements, construction agreements and the formation of property owners' associations. He has represented both borrowers and lenders in residential and commercial lending transactions including construction loans, development loans, and purchase and sale transactions, as well as both wind energy development companies and individual landowners during negotiations of wind energy leases. Mr. Smith also does general contract work, including the formation of entities and the sale and purchase of businesses.

Representative Matters

• Represented purchaser of 25+ retail sites around the country on a +/-$20 million transaction (two-phase closing)


• Represented purchaser of portion of assets of major homebuilder on a +/-$10 million transaction


• Represented landlord of large downtown office building on +/-10 new leases or amendments to existing leases in 2009


• Represented purchaser of all assets of a water supplier for a Texas city on a +/-$4 million transaction and related contracts with such city and residents


• Represented client in connection with leasing +/-10 locations in Texas for a new restaurant venture and another client with leasing five new locations inside and outside Texas for a fast food venture


• Represented wind farm developer negotiating wind leases with local land owners in Texas, Kansas, and Oklahoma


• Represented retail developer in purchasing, due diligence, encumbering with easements and restrictive covenants, and sale or long-term leasing 30+ different sites, mainly in Texas but also outside of Texas


• Represented client in purchase and sale of numerous nursing care facilities in Texas and Louisiana

Community Involvement

Mr. Smith has coached +/- 10 baseball seasons in the Western Hills Little League and has been a guest lecturer at the University of Texas McCombs School of Business Real Estate Finance and Investment Center. He is a member of the State Bar of Texas, the Real Estate Section of the Travis County Bar Association, the Texas Bar Foundation, the Real Estate Council of Austin, Coastal Conservation Association - Austin and also previously served on the Board of Directors for Junior Achievement of Central Texas.
