Sabrina A. McTopy focuses her practice on organizing businesses and representing them in a broad range of transactions, including mergers and acquisitions, public and private offerings of debt and equity securities, securities compliance matters and private equity investments. Her experience includes over 100 mergers and acquisitions of and by public and privately held-companies, including leveraged buy outs and restructurings, and representing private equity funds on the investment side. Her practice includes general representation of public companies, including periodic Securities and Exchange Commission reporting and compliance, shareholder reporting, executive compensation, and contract negotiation and documentation. Ms. McTopy also advises audit committees and boards of directors seeking independent counsel on transactional and governance matters and investigations of corporate misconduct.

Before joining Jackson Walker, Ms. McTopy was a partner in the Houston firm of Norton, Jacobs, Kuhn & McTopy, L.L.P. and a senior tax accountant with a major international accounting firm.

Ms. McTopy serves as a member of the 2007 advisory board of Girls Inc. of Greater Houston, a city-wide youth mentorship organization for 6-to-18 year-old girls and is the chair of that organization's 2008 annual luncheon. She is also an advisory board member of The Woods Project, a wilderness education organization that connects inner-city kids with nature and science.
