Byron Egan Speaks on Fiduciary Duties in Delaware and Texas

Jackson Walker partner Byron Egan spoke at the University of Texas School of Law’s 36th Annual Conference on Securities Regulation and Business Law on Feb. 14, 2014 in Dallas, Texas.

The presentation, “How Recent Fiduciary Duty Cases Affect Advice to Directors and Officers of Delaware and Texas Corporations,” discussed the fiduciary issues that Directors and Officers face in the current M&A market and the lessons to be learned from recent decisions of courts in Delaware and Texas. He has extensive experience in business entity formation and governance matters, M&A, and financing transactions in a wide variety of industries including energy, financial, and technology. In addition to handling transactions, he advises boards of directors and their audit, compensation, and special committees with respect to fiduciary duty, Sarbanes-Oxley Act, special investigation, and other issues.
