David A. Snyder
David A. Snyder is a private equity and private company attorney in the Corporate & Securities group at Jackson Walker. His practice focuses on all aspects of private equity and mergers and acquisitions, across the spectrum from fund formation to venture and growth financings to co-investments and direct investments by consortia of international investors to buy-outs and exits.
In his fund formation practice, David represents institutional investors in connection with investments in private equity funds and other alternative vehicles. David’s experience is well-rounded in the private funds space, as he also represents general partners in the formation of private equity funds and other pooled investment vehicles.
David has extensive experience representing private equity funds and private and public companies in mergers and acquisitions (including private equity buy-outs, bolt-on acquisitions and co-investment platforms as well as public company mergers and take-privates), private equity investments (including leveraged recapitalizations, preemptive rights offerings, equity commitments, preferred equity investments and early-stage financings), technology transactions (such as services agreements, licensing agreements and various other intellectual property transactions), securities law compliance, corporate governance and other general corporate matters.
David’s background representing both sponsors and institutional investors in both M&A deals and fund formations affords him particular experience in structuring and negotiating co-investments and direct investments involving institutional investors, as well as separate accounts and various other bespoke arrangements with general partners (including seed arrangements and sponsor stakes).
Prior to joining Jackson Walker, David practiced at law firms in Washington, D.C. and Houston, Texas. He began his legal career as a law clerk to Judge Simeon Lake on the United States District Court for the Southern District of Texas.
