Biography

Douglas A. Paisley’s primary areas of practice include cross-border and international transactions, commercial and project finance, corporate law, and general business law. He has extensive experience in representing non-U.S. companies doing business in the U.S., U.S. companies doing business overseas, and high net worth non-U.S. individuals in a variety of matters concerning foreign and domestic financial, real estate, corporate, tax and commercial issues including international project financings, mergers and acquisitions, sales and distribution arrangements, joint ventures, technology transfers, and licensing and entity formations.

Doug’s practice also includes the representation of borrowers and lenders in a variety of lending transactions and regulatory matters such as commercial real estate and construction loans, project financing, equipment leasing, international trade finance, Euro-currency and foreign currency loans, syndicated loan transactions, corporate and municipal financings, loan workouts, debt restructuring, and regulation of foreign bank operations in the U.S.

  • Represented the Dubai-based lender in the construction and financing of a large residential camp compound for foreign workers at a LNG facility in Angola, West Africa.
  • Represent Mexican industrial company in establishing a joint venture to build, own and operate a heavy crude oil upgrading and storage facility in Wyoming.

In-Bound

  • Represent an Australian subsidiary of a large UK energy service company in establishing its US operations and reorganizing the UK parent’s other US operations.
  • Represent a Norwegian offshore drilling contractor in setting up a US branch office to conduct marketing activities in the US.
  • Represent a Swedish floating hotel operator in establishing operations in the US Outer Continental Shelf of the Gulf of Mexico to support offshore platform crews.

  • Represent US energy equipment manufacturer in setting up distributorships throughout the Middle East and North Africa.

  • Represent a fund sponsor in setting up a special purpose entity and finance the acquisition of a large $200,000,000 multi-use commercial real estate project in Sugarland, Texas.
  • Represent a registered investment advisor on seeing up a joint venture to develop and finance a large tract over a 20 year period in Arlington VA, including residential, retail, office and a new DC Metro Rail station.
  • Represent an investment advisor and family office in the acquisition and financing of a large multifamily complex in Houston TX and the subsequent redevelopment of portions of same for mixed use.
