Byron Egan, Willie Hornberger, Steve Moore Speak on Choice and Acquisition of Entities

The course, titled “Choice and Acquisition of Entities 2015,” will feature leading business practitioners from across the state discussing the legal and tax characteristics of different business entities including corporations, limited liability companies, and partnerships. The course will also cover business combinations involving these entities. All three Jackson Walker attorneys will be speaking in multiple sessions.

For one of the presentations, titled “Choice of Entity and Acquisition Structure Decision Tree,” Byron will be presenting two of his papers, “Choice of Entity Decision Tree,” and “Acquisition Structure Decision Tree.”

Byron Egan is engaged in a corporate, partnership, securities, mergers and acquisitions (M&A), and financing practice. Byron has extensive experience in business entity formation and governance matters, M&A, and financing transactions in a wide variety of industries including energy, financial, and technology. In addition to handling transactions, he advises boards of directors and their audit, compensation, and special committees with respect to fiduciary duty and other corporate governance issues, the Sarbanes-Oxley Act, special investigation, and other issues.

Willie Hornberger practices in the Tax and International sections of Jackson Walker. Willie’s tax practice emphasizes transactional and international tax matters and tax controversy issues. He is also a Certified Public Accountant. Willie received both his B.B.A. degree, with high honors, and his J.D. degree, with honors, from the University of Texas, and he received his LL.M. in Taxation from New York University. He is fluent in Spanish.

Steve Moore is a state tax lawyer whose practice includes planning and controversy work emphasizing sales tax, Texas franchise (aka “margin”) tax, and insurance premium tax. Steve is dedicated, from a value-driven perspective, to helping his clients fully comply with and control their tax exposure. Steve has extensive experience in state tax planning for multi-state business models, and regularly provides tax strategy advice relating to business acquisitions and divestitures.
