Cale McDowell, William Hornberger, Steve Moore and John Ransom Speak at Texas Society of CPA’s Oil & Gas Seminar

Cale McDowell, Perry Phipps, Willie Hornberger and Steve Moore will serve as members of a panel discussion, titled “From Oil Patch to Fund.” The discussion will explore relevant corporate and securities, federal income and state tax and oil and gas considerations in the acquisition and disposition of oil and gas assets, including through private investment funds and other pooled investment vehicles. Additionally, the panel will provide information about legal trends and issues in the U.S. upstream and midstream and oil and gas acquisition and divestiture market, and more.

John Ransom’s presentation, “Tax Pitfalls and Planning Opportunities in Canada and the United States,” will compare and contrast the fundamentals of resource taxation in Canada and in the U.S. Gain a description of optimal tax planning structures to accommodate resource tax planning.

Cale McDowell represents both public and private companies at all stages in a wide array of engagements, including entity structuring and formation, mergers and acquisitions, offerings of debt and equity securities, and general corporate governance and transactional matters. Cale received B.B.A., M.P.A. and J.D. degrees from the University of Texas at Austin.

Willie Hornberger practices in the Tax and International sections of Jackson Walker. His tax practice emphasizes transactional and international tax matters and tax controversy issues. He is also a Certified Public Accountant. Willie received both his B.B.A. degree, with high honors, and his J.D. degree, with honors, from the University of Texas, and he received his LL.M. in Taxation from New York University.

Steve Moore is a tax lawyer whose practice includes compliance; planning and controversy work, with an emphasis on sales tax; insurance premium tax; and local property tax. He also has substantial experience in state tax planning for multi–state business models and regularly provides tax strategy advice relating to mergers and acquisitions. Steve received his B.B.A. degree from the University of Texas at Austin and his J.D. degree, with honors, from the University of Texas School of Law.

John Ransom is a skilled transaction and tax lawyer with more than 35 years of experience as both a legal advisor and CPA in a wide range of matters. He regularly leads acquisition and sale transactions and has particular experience in structuring the tax aspects of M&A matters including upstream and midstream oil and gas ventures and contribution to master limited partnerships. John received his B.A. from Rice University and his J.D. from the University of Houston Law Center.
