Biography
|
David Rex's practice focuses on mergers, acquisitions, divestitures and related financings, including as counsel to private equity and venture capital funds. He also assists entrepreneurs and emerging growth companies from formation to exit, with an emphasis on venture capital and general corporate finance, strategic alliances and joint ventures, and related contract law. Mr. Rex also has a diverse background in domestic and international corporate, securities, finance, banking, and related tax law matters, both as general counsel and in private practice. He is a member of Jackson Walker's Corporate and Securities, Internet/E-Commerce, Technology, and Life Sciences and Medical Technology practice groups.
Mr. Rex is the creator of the Basic Training for Entrepreneurs conferences, which are designed to expand entrepreneurs' knowledge of the process for taking their business concepts from idea to exit and to help improve the odds of success for their ventures. Mr. Rex also operates the Startup Venture Toolbox web site that provides free information and assistance to entrepreneurs with the goal of helping them achieve their objectives as well as providing a forum for the exploration of entrepreneurial ideas and issues. He regularly speaks on legal and business issues related to venture capital, private equity and other alternatives for financing businesses, intellectual property, unfair advantage and ethical issues in venture capital and private equity transactions.
Mr. Rex is also a certified public accountant and an Eagle Scout.

Mr. Rex is a member of the State Bar of Texas and the Oklahoma Bar Association. He is Chairman of the Mergers and Acquisitions Committee, past Vice-Chairman of the Securities Committee and past Chairman of the Venture Capital Committee of the Business Law Section of the State Bar of Texas, and he is a member of the Board of Directors of the Texas Business Law Foundation. Mr. Rex is the Texas liaison to the National Venture Capital Association's Model Forms Project. He is a member of the Committee on Mergers and Acquisitions of the Business Law Section of the American Bar Association (Private Equity M&A and M&A Market Trends Subcommittees, Judicial Interpretations Working Group, Acquisition of Public Companies, Joint Venture, M&A Dictionary and International Acquisition Transactions Task Forces).
Mr. Rex is a member of the Board of Directors of BioDFW, an organization committed to creating an environment of regional collaboration, innovation, excellence and inspiration for the North Texas life sciences community. He is past-President and a member of the Board of Directors of the Texas Nanotechnology Initiative, a consortium of industry, universities, government and venture capitalists whose mission is to establish Texas as a world leader in the discoveries, development and commercialization of nanotechnology. Mr. Rex is also a member of the Board of Directors of BioDFW, a non-profit life sciences organization. In addition, he is a member of The Nesheim Group, a group of professionals around the world that collaborate on the process of converting ideas into new enterprises that is led by John L. Nesheim, best selling author of High Tech Start Up: The Complete Handbook for Creating Successful New High Tech Companies and Unfair Advantage: High Tech Winners' Secret.
