Mrs. Miller has developed particular experience representing mining clients and has a deep knowledge of the agreements and contracts specific to this industry. Representative matters Mrs. Miller has handled for clients in this area include the following:
- Long-term representation of a client with a multitude of mining-related matters. Assisted client in obtaining financing for a dryer plant and other essential equipment, including negotiating and arranging frac sand supply contracts, for a property held under lease in Texas. Handled financing and plant construction matters, the commencement of mining and plant operations, the negotiating of business agreements, and other personnel matters. Assisted client with purchasing the leased premises. Several years later, assisted client with sale of the assets of the mining business whereby client leased the sand mining property to the buyer and continues to receive royalties. Ongoing representation related to the lease agreement between the parties.
- Assisted client with the initial explorative process and purchase of a mining property in Texas; continue to represent this client with regard to developing its sand mine operations.
- Represented a mining company in the formation of an entity to carry out mining and to own and lease real estate in Wisconsin. Ongoing representation includes negotiating a wide range of contracts specific to the sand mining industry, including royalty leases, options, and land purchase agreements (including handling various title issues), and business agreements on behalf of the client.
Mrs. Miller has also represented financial institutions, including banks and insurance companies, in connection with a variety of real estate transactions. Mrs. Miller's commercial real estate practice has included the negotiation, structuring, and documentation of permanent financing of office buildings, shopping centers, apartment complexes, hotels, and industrial projects. The credit facilities have involved both single-asset and portfolio transactions, multi-state transactions, loan participations, and multi-creditor facilities.
Mrs. Miller's corporate practice has involved advising corporate clients on various business transactions, including business entity formation and governance and the negotiation of asset sales and other transactions.
Mrs. Miller also represents real estate developers in all phases of the developments, including acquisition, land use and development, financing and disposition.
