Bryon Egan, Willie Hornberger, and Steve Moore Speak at the State Bar of Texas Choice and Acquisition of Entities in Texas Course

Jackson Walker partners Bryon Egan, Willie Hornberger and Steve Moore will speak at the 10th Annual State Bar of Texas’ Choice and Acquisition of Entities in Texas Course on May 25, 2012, in San Antonio, Texas.

As the course director, Byron will deliver the welcoming remarks of the event to attendees. He will also present “Choice of Entity and Acquisition Structure Decision Tree.”

Both Byron and Willie will be joined by Steve in presenting “Primer on M&A Transactions, Including Tax.” Steve will also present the session titled “Series LLCs.”

Willie and Steve will co-present two additional sessions at this conference: “Tax Considerations in Entity Choice” and “Acquisitions of Partnerships and LLCs.”

Byron, Willie, and Steve will join at the end of the day on the summation panel titled “How to Choose What Entity or Acquisition Structure to Use.”

Byron Egan is engaged in a corporate, partnership, securities, M&A, and financing practice. He has extensive experience in business entity formation and governance matters, M&A, and financing transactions in a wide variety of industries including energy, financial, and technology. In addition to handling transactions, he advises boards of directors and their audit, compensation and special committees with respect to fiduciary duty, Sarbanes-Oxley Act, special investigation, and other issues. Mr. Egan received his B.A. and J.D. degrees from the University of Texas. After law school, he served as a law clerk for Judge Irving L. Goldberg on the United States Court of Appeals for the Fifth Circuit. Mr. Egan is Senior Vice Chair and chair of the Executive Council of the American Bar Association Mergers and Acquisitions Committee.

Willie Hornberger practices in the Tax and International sections of Jackson Walker. His tax practice emphasizes transactional and international tax matters and tax controversy issues. He is also a Certified Public Accountant. Mr. Hornberger received both his B.B.A. degree, with high honors, and his J.D. degree, with honors, from the University of Texas, and he received his LL.M. in Taxation from New York University. He is fluent in the Spanish language.

Steve Moore is a tax lawyer whose practice includes compliance; planning and controversy work, with an emphasis on sales tax; insurance premium tax; and local property tax. He also has substantial experience in state tax planning for multi-state business models and regularly provides tax strategy advice relating to mergers and acquisitions. Recognized for his depth of expertise in state tax matters, Mr. Moore is one of the state’s leading attorneys for guidance on the new Texas margin tax and he frequently speaks on this topic, having made numerous presentations to Texas State Bar and University of Texas CLE programs. Mr. Moore received his B.B.A. degree from the University of Texas at Austin and his J.D. degree, with honors, from the University of Texas School of Law.
