Biography

Jenny Roan Forgey is an attorney in the Land Use and Real Estate sections of Jackson Walker’s Austin Office. Jenny represents developers, owners, buyers, sellers, and investors in an array of commercial and residential real estate transactions, including acquisitions, dispositions, development, entitlement, and governance in all asset classes. Specializing in intricate real estate transactions, Jenny focuses on the development of residential and commercial mixed-use communities and governance design for complex master-planned communities. Jenny’s guidance is sought after for drafting planned community governance documents across various residential and commercial product types, including both commercial and residential condominium regimes. Her creative approach to the obstacles developers face when entitling and platting property has made her a sought-after addition to the team involved in developing a project, whether it be on a small or large scale.

In addition to her proficiency in sophisticated development plans, Jenny manages traditional commercial and residential acquisitions and sales. From the sale and purchase of developed commercial properties such as apartment buildings, data centers, warehouse/flex space, and retail developments, to the sale, purchase, and development of raw land, Jenny helps clients efficiently diligence, close, entitle and encumber real property to realize developments and enhance communities all over Texas.

As a member of the firm’s portfolio acquisitions practice, Jenny also assists in the representation of global private equity firms in the acquisition of large scale commercial real estate portfolios. Jenny’s development experience leads her to have a practical, curative approach to diligence of portfolio properties with an emphasis on national title, survey, and zoning diligence analysis.

  • Represented a state public university system in negotiation of planned community documents, development milestones, public and private easements in conjunction with a major city in Texas, and the final acquisition of real property within a large master-planned community for a satellite campus in Texas.
  • Represented a landowner in negotiation of a joint venture land sale to developer partner for development of student housing to serve the student population of a large public university in Texas.
  • Represented a landowner developer in negotiations with a public independent school district for sale of real property to develop a school.
  • Developed the governance structure for and formed a commercial condominium for warehouse flexible space in Austin, Texas, and negotiated the sale of a condominium unit to a municipality.

  • Worked with national, public homebuilder on drafting and negotiation raw land contracts, lot contracts, license agreements, letters of intent, and other documents needed to facilitate fast-paced acquisition and development of residential master-planned communities.
  • Formed and facilitated the sale of Units in master-planned condominiums throughout Texas.
  • Diligenced over 25 master-planned communities in conjunction with a private homebuilder’s purchase of a small, regional homebuilder in Texas.
  • Managed a $1 billion refinance on behalf of a quasi-public entity that owned the key asset in the then-largest P3 water infrastructure project in the nation.
  • Represented investor-owned water utilities, Internet service providers, and multi-family property owners in proceedings before the Public Utility Commission of Texas.
