Jackson Walker represented Westerman Ltd. in connection with the negotiation and execution of a Stock Purchase Agreement for the sale of J-W Energy Company and its wholly-owned subsidiary J-W Power Company to USA Compression Partners, LP (NYSE: USAC) for total consideration of approximately $860 million. The closing is scheduled for January 2026.
J-W Power Company, a leading provider of natural gas compression services and equipment solutions, has been a cornerstone in the midstream sector for decades. The transaction marks a significant milestone in the continued consolidation of compression services and is expected to enhance the combined platform’s operational scale and service capabilities for customers across key U.S. basins.
Clint Green, President and Chief Executive Officer of USAC, stated in USA Compression’s press release, “By adding J-W Power Company’s high-quality fleet and expanding our presence in key basins, we are excited to expand our position as a leading provider of compression services. The combined entity will deliver meaningful scale, broaden customer relationships, and enhance our ability to service the growing demand for natural gas compression.”
