Jackson Walker advised a strategic joint venture between Established Incorporated and ACI Licensing in securing a credit facility to support the acquisition of four prominent women’s lifestyle brands: Badgley Mischka, C&C California, Kay Unger, and RACHEL Rachel Roy. Our team represented Established ACG Borrower, LLC in securing the facility – a crucial component of the joint venture – with Huntington National Bank.
The JV successfully acquired full ownership of the Badgley Mischka, C&C California, and Kay Unger brands, and a 71% stake in the RACHEL Rachel Roy brand. Under the JV agreement, Established will hold a controlling 51% interest, while ACI Licensing will own a 49% interest. ACI Licensing will also oversee the day-to-day operations of the four brands. Established is supported by sponsors Crosstimbers Capital and Ares Management, and Jackson Walker has represented Established and its affiliates in past transactions.
A Jackson Walker team including Cale McDowell, Art Cavazos, Michael Flatter, Jimmy McDonough, and Peyton Fulgium advised the borrower in the credit facility and prepared parent company consents by the upper-tier Crosstimbers/Ares JV.
