Biography

John Stevenson handles real estate transactions in Texas and across the United States, with an emphasis on real estate development, acquisitions, dispositions, and leasing.

As a dirt lawyer, John represents various clients, including residential and commercial developers, home builders, institutional investors, family offices, and publicly traded companies, across multiple asset classes and property types, including multifamily and built-to-rent, farm and ranch, mixed-use and master planned communities, data centers, warehouse facilities and other industrial properties. As part of his practice, John represents landlords and tenants in retail, office, and ground lease transactions.

Additionally, John has extensive experience representing both limited partners and sponsors in real estate joint venture matters, ranging from single asset investments to multi-property portfolio acquisitions and dispositions. He routinely prepares and negotiates partnership and LLC agreements for real estate investment and asset protection purposes and advises clients regarding entity formation and structuring. He uses his experience to thoughtfully and practically guide clients in complex transactions as well as day-to-day corporate real estate matters.

  • Represented residential developer of single family build-to-rent communities in multiple land acquisitions and dispositions throughout Texas and advised on all aspects of property development, including zoning, approvals, and the construction of shared facilities and improvements.
  • Represented various clients in multifamily acquisitions and dispositions, both locally and nationally, including the representation of an international company in a $1,400,000.00, 434 unit apartment project disposition and $40,000,000.00 condominium acquisition.

  • Represented Dallas area multi-family developer in loan refinance transactions for 9 separate apartment complexes in amounts ranging from $2,000,000 to $5,000,000.
  • Represented buyers and sellers in stock and asset purchase transactions across all types of industries. Prepared asset purchase agreements, advised regarding schedules and due diligence, formed various acquisition entities, and prepared employment agreements, management agreements, loan documents (including, notes, deeds of trust, and commercial guaranties), and coordinated acquisition closings.
  • Represented institutional investor in multiple joint venture transactions as investor’s counsel, including an industrial property portfolio acquisition in New Jersey totaling over $150,000,000 in combined assets, and retail property portfolio in Arizona, totaling over $100,000,000 in combined assets. Negotiate key JV agreements, coordinate due diligence and review of title and survey, lease agreements, CC&R’s, and zoning information, and advise client regarding deal specific risks.
  • Represented buyers and sellers of land to be developed for data center purposes, including the representation of a data center developer in the acquisition of property in Ellis County, TX, for a hyper-scale data center.
