Biography

Rony Kishinevsky is a partner in the Corporate & Securities section of Jackson Walker and a member of the firm’s Investment Funds and Private Equity groups. He provides strategic counsel to private equity sponsors, real estate fund managers, institutional family offices, and other alternative asset managers across the full lifecycle of their investment activities, from platform creation and fund formation through deployment, portfolio management, and exit. His diverse client base ranges from single-asset sponsors and emerging managers launching first-time funds to established institutional platforms.

Rony has extensive experience in the structuring, formation and offering of private investment funds across both real estate and traditional private equity strategies, including buyout, growth equity, infrastructure, credit, energy and opportunistic funds. His practice encompasses management company and general partner structuring, carried interest arrangements, and regulatory compliance matters. His fund structuring experience includes parallel fund vehicles, feeder funds, leveraged blocker entities, offshore vehicles, and REIT subsidiary structures designed to accommodate the tax and regulatory requirements of diverse institutional investor bases. He also regularly advises clients on private equity secondary transactions, GP-led continuation vehicles, co-investment structures, hybrid fund arrangements, separate accounts and Delaware Statutory Trust (DST) offerings.

Rony also has significant experience structuring and negotiating real estate joint ventures on behalf of both sponsors and institutional capital partners. His joint venture practice encompasses programmatic and discrete joint ventures, development joint ventures, preferred equity investments, and platform formations, including the negotiation of governance frameworks, economic waterfalls and promote structures, exit provisions, and related commercial terms. His real estate joint venture work spans a range of asset classes, including industrial, multifamily, office, senior living, medical office, data center and self-storage properties, and frequently involves structuring complex development, recapitalization, and co-investment arrangements.
