Jackson Walker represented the portfolio company of a Texas-based middle market private equity fund in connection with an add-on acquisition of substantially all assets from a Dallas-based company that buys, refurbishes, and re-sells used industrial chiller systems. The purchase price includes a net working capital adjustment and was funded, in part, by the proceeds of a term loan provided by a syndicate of Texas-based financial institutions.
The Jackson Walker team was led by Dallas partner Robert D. McCutchan and associate Ryan K. Holm and included Peter K. Wahl (environmental), Alicia R. Duleba (labor and employment), C. Bradford Lowry (real estate), David Schlottman (labor and employment), and Nathan T. Smithson (tax), among others.
