Biography
Jesse S. Lotay is a skilled lawyer in the areas of energy, commodities and derivatives, and corporate transactions. He has focused experience representing clients on business and transactional matters and works with clients as a strategic partner to provide proactive legal solutions to accomplish business objectives, address specific challenges, meet critical deadlines, and maximize financial results.
In the areas of energy and commodities and derivatives, Jesse works with clients on transactions ranging from “dinosaurs to Wall Street.” He advises clients in the upstream, midstream, and downstream sectors, including oil and gas matters, and the acquisition, sale, and financing of crude oil and natural gas storage, pipeline, refinery, terminal, transportation, and other energy-related assets.
His practice includes advising clients on energy-based commodities, derivatives and other structured products, marketing, trading activities, assessing and minimizing risk across transactions, reporting, clearing, and regulatory obligations under the Dodd-Frank Act, and financial and physical transactions under industry-standard agreements and party-specific general terms and conditions (GTCs).

Castleton Commodities International
Jackson Walker successfully represented global commodity merchant Castleton Commodities International LLC (CCI) in its acquisition, through one of its subsidiaries, of Enstor Energy Services LLC, the natural gas trading business of Avangrid Renewables Holdings Inc., a wholly owned subsidiary of Avangrid Inc., a $32 billion diversified energy and utility company. The transaction closed on March 1, 2018. CCI consistently ranks among the top marketers of natural gas in the U.S., transacting on approximately 100 pipelines and over 60 storage facilities to create a geographically diverse portfolio of natural gas assets. CCI markets a broad range of physical commodities, including electric power, natural gas, natural gas liquids, refined products, crude oil, fuel oil, freight, base metals, and petrochemicals.
NuStar Linden
Jackson Walker successfully represented NuStar Energy L.P. in its acquisition of full ownership of a refined products terminal in Linden, N.J., which is located in the New York Harbor. The terminal was previously operated as a joint venture with Linden Holding Corp., and NuStar had 50 percent ownership of the facility. NuStar purchased the remaining ownership interest from Linden, a subsidiary of NIC Holding Corp., for $142.5 million in a transaction that was announced on Jan. 9, 2015.
NuStar Refinery
Jackson Walker successfully represented client NuStar Energy L.P. in the sale of its San Antonio refinery and related assets to Calumet Specialty Products Partners, L.P. for $100 million, plus closing date inventory of approximately $15 million. The deal closed on Jan. 2, 2013. The related assets included a terminal in Elmendorf, Texas, and a pipeline connecting the terminal and refinery.
