Biography

Virginia Mimmack focuses her practice on providing comprehensive legal services to a broad spectrum of healthcare providers. She has particular experience representing physicians, physician-owned entities, hospitals, healthcare start-up companies across all sectors of the healthcare industry, and veterinary and animal health businesses. As Head of the Healthcare practice, Virginia takes a problem-solving approach to helping her healthcare clients with regulatory compliance and business strategy. Her experience enables her to craft strategies that help clients achieve their business goals while maintaining full regulatory compliance. Virginia has a special interest in the digital health space, including telemedicine, telehealth, and tele-optometry, and regularly counsels clients on emerging healthcare delivery platforms, including veterinary telehealth. She has extensive experience advising clients on corporate practice prohibitions affecting medicine, veterinary medicine, dentistry, and optometry. Through the long-term relationships she has built with her clients, Virginia provides strategic advice to help them anticipate change and prepare for the future.

Digital Health and Healthcare Startups

Virginia has extensive experience advising digital health companies and healthcare startups on the unique regulatory and corporate structuring challenges they face when scaling services across multiple states. She regularly counsels telehealth, tele-optometry, tele-dentistry, and veterinary telehealth companies on navigating the corporate practice of medicine, optometry, dentistry, and veterinary medicine prohibitions that vary by jurisdiction.

  • Advised numerous telehealth and digital health companies on the Management Services Organization (MSO) model and the “friendly PC” model, structuring compliant arrangements that allow non-physician-owned entities to support clinical operations while adhering to corporate practice of medicine, optometry, dentistry, and veterinary medicine restrictions across all 50 states
  • Assisted in the formation and launch of numerous nationwide telemedicine companies, guiding founders through entity structuring, multi-state licensure requirements, regulatory compliance, and initial capital raises
  • Counseled telehealth companies in the mental and behavioral health space on regulatory compliance, prescribing regulations, practitioner licensing, and corporate structuring for multi-state service delivery
  • Regularly advises healthcare startups and digital health platforms seeking to provide telemedicine, tele-optometry, tele-dentistry, and veterinary telehealth services on a nationwide basis, including compliance with state-specific telehealth laws, scope of practice regulations, and payor enrollment requirements
  • Served as regulatory counsel for a nationwide telemedicine company in its acquisition of a mental health-focused telemedicine platform, advising on state licensing requirements, telehealth regulatory compliance, and corporate practice of medicine considerations
  • Represented a healthcare technology company in developing and implementing digital patient scheduling platforms for hospitals and physician practices, advising on regulatory compliance, data privacy considerations, and vendor contracting
  • Advises digital health and telehealth companies on ancillary compliance documentation, including informed consent forms, website terms and conditions, privacy policies, and required AI disclosures

Physician Representation

  • Advised physicians in restructuring their corporate structure in connection with: (i) adding partners, (ii) removing partners, (iii) drafting employment agreements; and (iv) drafting medical director agreements
  • Assisted physicians in starting a new practice including the formation of a PLLC or PA, and review of leases, vendor contracts, and hospital recruitment agreements
  • Reviewed potential investment opportunities for physicians in ASCs and other healthcare businesses
  • Assisted fertility clinics on various corporate and regulatory issues
  • Assisted in forming new medical spas; provided corporate and regulatory guidance to existing medical spas
  • Assisted independent practice associations in contracting with Medicare Advantage Plans
  • Helped physicians start concierge and private practices
  • Represented various physician-owned entities, hospitals, and labs

Regulatory

  • Advised telemedicine, telehealth, digital health, and tele-optometry companies and providers on various regulatory issues, including cross-border entity and licensing compliance, state and federal telemedicine and prescribing laws, and scope of practice matters
  • Advised all types of healthcare providers on Stark and Anti-kickback matters and other fraud and abuse matters.
  • Assisted facilities in obtaining provider-based status
  • Assisted hospitals, hospices, home healthcare companies, LTACHS, and ASCs with obtaining initial licensure and with changes in ownership
  • Represented clients in responding to Medicare audits
  • Advised dentist practices on various corporate and regulatory issues
  • Assisted hospitals and physicians with managed care issues including out-of-network, the No surprises Act, and prompt payment matters
  • Counseled and provided training to physician and nurse peer review committees

Veterinary and Animal Services Industry

  • Represented veterinary practices, veterinary telehealth companies, and veterinary pharmacies in connection with various corporate, regulatory, and employment matters
  • Assisted with the formation, purchase, and sale of veterinary clinics, including entity structuring, asset purchase agreements, employment agreements, and compliance with veterinary practice regulations
  • Advised multiple veterinary and veterinary telehealth companies on the Management Services Organization (MSO) model and compliant corporate structures, enabling non-veterinarian-owned entities to support clinical operations while adhering to corporate practice of veterinary medicine restrictions and veterinarian-client-patient relationship (VCPR) requirements across multiple states
  • Advised Veterinary pharmacies on various regulatory matters including fulfilling prescriptions on behalf of veterinary practices and accepting compounded prescriptions.
  • Regularly advises veterinary startups and animal health platforms seeking to provide veterinary telehealth services on a nationwide basis, including compliance with state-specific veterinarian-client-patient relationship (VCPR) requirements, scope of practice regulations, prescribing laws, and state veterinary board licensing requirements

Corporate Transactions

  • Represented healthcare clients in connection with the sale and acquisition of freestanding emergency room facilities, including due diligence, regulatory compliance review, and transaction structuring
  • Served as legal counsel for hospice companies in acquisitions of additional hospice facilities and operations, advising on regulatory compliance, Medicare certification transfers, and transaction documentation
  • Serves as regulatory counsel on transactions involving the purchase and sale of optometry practices, advising on corporate practice of optometry compliance, regulatory due diligence, and transaction structuring
  • Advised on the merger of multiple physician-owned LLCs to form a larger physicians network, including corporate restructuring, governance agreements, and regulatory compliance with Stark Law and Anti-Kickback Statute requirements
  • Represented an orthopedic surgery practice in the sale of its clinical operations and in-house pharmacy to a hospital system, including negotiation of acquisition terms, regulatory compliance review, and post-transaction physician employment agreements
  • Represented a hospital in several transactions, including the purchase of physician practice assets and physical therapy centers
  • Represented a cryotherapy services company in a complex multi-party transaction involving the consolidation and merger of several physician-owned entities into a larger cryotherapy platform, advising on corporate structuring, regulatory compliance, and transaction documentation
  • Counseled an entrepreneur through Series A financing for an urgent care center, advising on capital raise structuring, securities offering compliance, and related regulatory and corporate governance matters
  • Advised on the corporate structuring of a physician-owned compounding pharmacy, ensuring compliance with federal and state Anti-Kickback Statute safe harbor requirements
  • Advised on the formation and governance of independent physician associations, including associated private securities offerings and ongoing corporate and regulatory counsel

  • Advised physicians in restructuring their corporate structure in connection with: (i) adding partners, (ii) removing partners, (iii) drafting employment agreements; and (iv) drafting medical director agreements
  • Assisted physicians in starting a new practice including the formation of a PLLC or PA, and review of leases, vendor contracts, and hospital recruitment agreements

  • Advised all types of healthcare providers on Stark and Anti-kickback matters and other fraud and abuse matters.

  • Represented veterinary practices, veterinary telehealth companies, and veterinary pharmacies in connection with various corporate, regulatory, and employment matters
  • Assisted with the formation, purchase, and sale of veterinary clinics, including entity structuring, asset purchase agreements, employment agreements, and compliance with veterinary practice regulations
  • Advised multiple veterinary and veterinary telehealth companies on the Management Services Organization (MSO) model and compliant corporate structures, enabling non-veterinarian-owned entities to support clinical operations while adhering to corporate practice of veterinary medicine restrictions and veterinarian-client-patient relationship (VCPR) requirements across multiple states
  • Advised Veterinary pharmacies on various regulatory matters including fulfilling prescriptions on behalf of veterinary practices and accepting compounded prescriptions.
  • Regularly advises veterinary startups and animal health platforms seeking to provide veterinary telehealth services on a nationwide basis, including compliance with state-specific veterinarian-client-patient relationship (VCPR) requirements, scope of practice regulations, prescribing laws, and state veterinary board licensing requirements

Corporate Transactions

  • Represented healthcare clients in connection with the sale and acquisition of freestanding emergency room facilities, including due diligence, regulatory compliance review, and transaction structuring
  • Served as legal counsel for hospice companies in acquisitions of additional hospice facilities and operations, advising on regulatory compliance, Medicare certification transfers, and transaction documentation
  • Serves as regulatory counsel on transactions involving the purchase and sale of optometry practices, advising on corporate practice of optometry compliance, regulatory due diligence, and transaction structuring
  • Advised on the merger of multiple physician-owned LLCs to form a larger physicians network, including corporate restructuring, governance agreements, and regulatory compliance with Stark Law and Anti-Kickback Statute requirements
  • Represented an orthopedic surgery practice in the sale of its clinical operations and in-house pharmacy to a hospital system, including negotiation of acquisition terms, regulatory compliance review, and post-transaction physician employment agreements
  • Represented a hospital in several transactions, including the purchase of physician practice assets and physical therapy centers
  • Represented a cryotherapy services company in a complex multi-party transaction involving the consolidation and merger of several physician-owned entities into a larger cryotherapy platform, advising on corporate structuring, regulatory compliance, and transaction documentation
  • Counseled an entrepreneur through Series A financing for an urgent care center, advising on capital raise structuring, securities offering compliance, and related regulatory and corporate governance matters
  • Advised on the corporate structuring of a physician-owned compounding pharmacy, ensuring compliance with federal and state Anti-Kickback Statute safe harbor requirements
  • Advised on the formation and governance of independent physician associations, including associated private securities offerings and ongoing corporate and regulatory counsel
