Biography
Cade Satterfield is a partner in Jackson Walker’s Austin office whose practice focuses on private investment fund formation, secondary transactions in private equity and real estate joint ventures. Cade represents private equity fund sponsors, private real estate investment funds, secondary funds, family offices and other alternative asset sponsors across the full spectrum of their investment activities, from platform structuring and fund formation through portfolio-level transactions. He leads a dedicated team of attorneys and professionals that provides comprehensive, execution-oriented counsel to clients navigating complex fund and deal structures. Clients value Cade as a practical, commercially minded advisor who brings both legal precision and an understanding of their business objectives to every engagement.
Cade has extensive experience in the structuring, formation and offering of private investment vehicles, including commingled fund vehicles and deal-by-deal fundraises, across both real estate and traditional private equity strategies, as well as the formation and syndication of Delaware Statutory Trusts (DSTs). He regularly advises fund sponsors on the full lifecycle of their investment platforms, including management company and general partner structuring, carried interest arrangements and regulatory matters. His fund structuring experience includes parallel fund vehicles, feeder funds, blocker entities and REIT subsidiary structures designed to accommodate the tax and regulatory requirements of diverse institutional investor bases. Cade also coordinates with offshore counsel on the structuring of Cayman Islands and other offshore vehicles in connection with his fund formation engagements. His clients range from emerging sponsors raising their first vehicles to established managers launching institutional successor funds.
Cade represents both buyers and sellers in a high volume of private equity secondary transactions. His secondaries practice is built around large-scale deal execution, with a team structured to manage significant transaction volume across multiple concurrent workstreams while maintaining proficiency, responsiveness and efficiency. Cade’s secondaries clients include dedicated secondary funds, institutional investors and family offices seeking to acquire or dispose of private fund interests across a range of strategies and vintage years.
Cade also has significant experience structuring and negotiating real estate joint venture arrangements on behalf of both capital providers and operators. His joint venture work spans a range of asset classes, including industrial, multifamily, office, senior living, medical office and self-storage properties, and frequently involves structuring complex development and co-investment arrangements. Cade regularly represents clients in negotiating promote structures, major decision rights, buy-sell provisions and other governance terms that are critical to aligning sponsor and operator interests in joint venture transactions.
Cade received his J.D., magna cum laude, from SMU Dedman School of Law and his M.B.A. from SMU Cox School of Business. He received his B.B.A., with high honors, from the University of Texas at Austin. Cade has been recognized as a Texas Rising Star by Super Lawyers.
